These Terms of Service ("Terms") govern your access to and use of the services provided by sadducaajk B.V. ("Company", "we", "our", or "us"). By accessing our website, engaging our services, or entering into any agreement with us, you ("Client", "you", or "your") agree to be bound by these Terms.

4. Service Agreements

Specific terms for individual services will be detailed in separate service agreements or statements of work. In case of conflict between these Terms and a specific service agreement, the service agreement shall prevail for that particular engagement.

5. Client Obligations

5.1 Information Provision

You agree to:

• Provide accurate, complete, and timely information necessary for service delivery
• Grant reasonable access to relevant personnel, systems, and documentation
• Respond promptly to requests for information or clarification
• Notify us immediately of any material changes affecting the engagement

5.2 Compliance with Laws

You are responsible for ensuring that your business operations comply with all applicable laws and regulations. Our services provide guidance and recommendations, but ultimate responsibility for compliance remains with you.

6. Fees and Payment

6.1 Fee Structure

Fees will be specified in individual service agreements and may be based on:

• Fixed project fees
• Hourly rates
• Retainer arrangements
• Performance-based fees (where applicable)

6.2 Payment Terms

• Invoices are payable within 30 days of the invoice date
• All fees are exclusive of VAT and other applicable taxes
• Late payment may result in suspension of services
• Interest may be charged on overdue amounts at the rate of 1% per month

7. Intellectual Property

7.1 Our Intellectual Property

All methodologies, frameworks, templates, and know-how developed by sadducaajk B.V. remain our intellectual property. We grant you a non-exclusive, non-transferable licence to use deliverables for your internal business purposes only.

7.2 Client Intellectual Property

You retain ownership of your pre-existing intellectual property. You grant us a licence to use your information solely for the purpose of providing our services.

8. Confidentiality

Both parties acknowledge that confidential information may be disclosed during the course of our engagement. We agree to maintain the confidentiality of your information and use it solely for service delivery purposes. This obligation survives termination of our engagement.

9. Limitation of Liability

9.1 General Limitations

To the maximum extent permitted by law:

• Our total liability shall not exceed the fees paid for the specific service giving rise to the claim
• We shall not be liable for indirect, consequential, or special damages
• We shall not be liable for lost profits, business interruption, or loss of data

9.2 Professional Services

Our services constitute professional advice and recommendations. Implementation decisions and their consequences remain your responsibility. We do not guarantee specific outcomes or regulatory approval.

10. Indemnification

You agree to indemnify and hold harmless sadducaajk B.V. from any claims, damages, or expenses arising from your failure to comply with these Terms, misuse of our services, or violation of applicable laws.

11. Termination

11.1 Termination Rights

Either party may terminate an engagement:

• For convenience with 30 days' written notice
• Immediately for material breach that remains uncured after 15 days' notice
• Immediately for insolvency or bankruptcy

11.2 Effect of Termination

Upon termination, you shall pay all outstanding fees for services performed. Confidentiality obligations and limitation of liability provisions shall survive termination.

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, or other force majeure events.

13. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR).

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

15. Dispute Resolution

Before initiating formal legal proceedings, the parties agree to attempt resolution through good faith negotiations. If unsuccessful, disputes may be referred to mediation or arbitration as mutually agreed.

16. Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated with reasonable advance notice. Continued use of our services after such changes constitutes acceptance of the modified Terms.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the original intent.

18. Entire Agreement

These Terms, together with any specific service agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.
